Terms of Service

These terms are the agreement between you and Modern Code Consulting (“we”) for CalSpark, the scheduling and invoicing service at https://www.calspark.app. By creating an account or using the service you agree to them. If you sign up for a business, you confirm you can bind that business.

1. The service

CalSpark lets a small business manage customers, jobs, a dispatch schedule, team roles and invoices. Features change. We describe what exists today on our website. Features marked as planned or on the roadmap are not promised and have no delivery date.

2. Accounts

• You must be at least 18 and give accurate information.
• You are responsible for activity under your account and for keeping passwords safe.
• The plan covers up to 10 users. You are responsible for the people you add.

3. Free trial

New accounts get a 14-day free trial. We do not ask for a card to start it. When the trial ends, you need to subscribe to keep using the service. If you do not subscribe, we may limit access to your account. If you do not subscribe, we keep your data for 90 days so you can return, then we delete it.

4. Subscription, billing and auto-renewal

• The price is $49 per month in US dollars for up to 10 users, plus any taxes that apply.
• Subscriptions are billed through Stripe, in advance, once a month.
• Your subscription renews automatically each month until you cancel. Each renewal charges the payment method on file.
• If a payment fails, we may retry it and may suspend access until it is paid.
• We may change the price. We will email you at least 30 days’ notice by email before a change takes effect. You can cancel before then.

5. Cancellation

You can cancel at any time from your account’s billing settings or by emailing support@calspark.app. Cancellation stops future renewals. You keep access until the end of the period you already paid for. After that your account is closed and data is handled as described in our Privacy Policy. Ask us before you cancel if you want an export of your data.

6. Refunds

Subscriptions are billed monthly in advance and you can cancel at any time. Access continues to the end of the paid period. We do not refund partial months. The exception is your first charge: email support@calspark.app within 14 days of it and we will refund that charge in full. We also refund where the law requires it.

7. Payments from your customers

If you connect Stripe, your customers pay invoices to your Stripe account under Stripe’s terms. We are not a party to those payments, do not hold your funds, and are not responsible for Stripe fees, disputes or chargebacks. You are responsible for the accuracy of your invoices and for taxes on your sales.

8. Your data

You own the data you put into CalSpark. You give us permission to host and process it to run the service for you. You promise you have the right to enter it, including your customers’ contact details. Our Privacy Policy explains how we handle it.

9. Acceptable use

Do not break the law, attack or probe the service, try to see another company’s data, send spam, or resell access without our written permission.

10. Our property

We own the service, its code and its design. These terms give you a limited right to use it, not ownership.

11. Availability and changes

We work to keep the service running but do not promise it will be uninterrupted or error free. We may update, add or remove features. We may suspend an account that breaks these terms.

12. No warranty

The service is provided “as is” and “as available.” To the fullest extent the law allows, we disclaim all warranties, including fitness for a particular purpose. You are responsible for checking schedules, invoices and amounts before relying on them.

13. Limit of liability

To the fullest extent the law allows, we are not liable for indirect, incidental or consequential damages, lost profits or lost data. Our total liability for any claim is limited to the fees you paid us in the 12 months before the claim. Some places do not allow these limits, so they apply only as far as the law permits.

14. Ending the agreement

Either of us may end this agreement. Sections that by their nature should survive, such as ownership, liability limits and payment owed, do.

15. Governing law

These terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. The state and federal courts located in Hillsborough County, Florida have exclusive jurisdiction, unless the law requires otherwise.

16. Changes to these terms

If we change these terms in a way that matters, we will update the effective date above and email account owners. Continuing to use the service after a change means you accept it.
